Explanation of Responses:
( 1)  In accordance with the restricted shares grant agreement entered into by and between the Reporting Person and the Issuer on July 10, 2012, as approved by the Compensation Committee of the Board of Directors, the Reporting Person was granted 800,000 restricted shares of common stock of the Company on July 10, 2012, among which 300,000 shares vested on the grant date and the remaining 500,000 shares vest in equal installments on a quarterly basis over a five-year period.
( 2)  The reporting person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or for any other purposes.
