Explanation of Responses:
( 1)  The reporting person's spouse owns 95% of Select University Technologies, Inc., which is the general partner of SUTI Holdings, L.P. SUTI Holdings owns 55 shares of the Issuer's Series B Convertible Preferred Stock. Each share of Series B Convertible Preferred Stock is convertible into 1% of the Issuer's common stock at the time of conversion, including the common stock equivalent of all outstanding and unexercised options, warrants, and other convertible securities.
( 2)  The Series B Convertible Preferred Stock is convertible any time.
( 3)  The Series B Convertible Preferred Stock does not have an expiration date.
( 4)  The Series B Convertible Preferred Stock does not have a conversion price.
