SNM Global Holdings (PINKSHEETS: SNMN) announced the signing of a Letter of Intent to acquire a controlling interest in Live Clean Solutions, LLC (LCS), to be purchased through an equity-building issuance of Preferred Stock and will create no debt for the Company.

LCS develops, manufactures and distributes innovative enzyme products produced through its proprietary fermentation technology and procedures.

Enzyme use is standard in many industries such as cleaning, health, manufacturing as well as dietary supplements for humans and animals. Enzymes act as a catalyst to accelerate the naturally occurring breakdown process. LCS enzyme products are primarily used to eliminate odors and organic matter; reducing or eliminating the need for toxic chemicals, increasing the efficiency of other raw materials, and reducing energy consumption.

The Agreement calls for the Company to acquire a controlling interest in LCS, and, through its pioneering MicroTechnology Transfer Program (mt2) and MicroEquity Partner Program, provide the necessary funding to further develop and provide international channels of distribution for LCS' growing, environmentally friendly line of products and solutions. It is anticipated that LCI is to be operated as an autonomous subsidiary under present officers, directors and management, leveraging its new association with SNM Global's considerable financial, distribution and marketing resources.

As part of the due diligence process, the parties will prioritize acquisitions and development of the LCS portfolio based on current stage and future marketability. The transaction is set to close within the next 60 - 90 days, and the Company will provide regular updates regarding the progress.
