The Registrant is not able to file
its annual report on Form 10-K for the period ended December 31, 2009 on the
date required. The Registrant is in the process of preparing and reviewing the
financial information and compiling and disseminating the information required
to be included in the Form 10-K for the period ended December 31, 2009, as well
as the completion of the required review of the Company's financial information,
none of which could be completed by the date required without incurring undue
hardship and expense. The Registrant expects to file its annual report on
Form 10-K within the fifteen calendar days provided by this
extension.

Company anticipates that in its Form 10-K for the year ended December
3, 2009, there will be significantly greater operating losses reported than were
reported for the year ended December 31, 2008. In 2008, the Company
was a non-operating shell company. Beginning in April 2009, the
Company completed a merger and began research and development activities related
to it mobile search technology.
