Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On June 4, 2009, Mr. Jonathan So, the Chief Executive Officer of China Shoe Holdings, Inc. (the “Company”) resigned and thereby terminated his service as Chief Executive Officer. There was no disagreement or dispute between Mr. So and the Company which led to his resignation.

Additionally, on June 4, 2009, the Board of Directors of the Company appointed Mr. Man Shing Wu, a member of the board of directors, as Chief Executive Officer. Mr. Wu does not have any family relationship with any director, executive officer or person nominated or chosen by the Company to become a director or executive officer. Additionally, Mr. Wu has never entered into a transaction, nor is there any proposed transaction, between Mr. Wu and the Company.

In connection with Mr. So’s resignation as Chief Executive Officer, Mr. Wu resigned as Chairman of the Board of Directors, and Mr. So was appointed to serve as Chairman of the Board of Directors.
