Explanatory Note

This Amendment No. 1 to the Form 8-K dated as of February 12, 2021 is being filed solely to conform the metadata on the SEC EDGAR System to change the Company’s fiscal year indicated thereon.

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On February 11, 2021 the Board of Directors of Bunker Hill Mining Corp. (the “Company”) acted to change the Company’s fiscal year-end from June 30 to December 31. In accordance with the applicable rules of the Securities and Exchange Commission, the Company will file, on or about March 31, 2021 a transition report on Form 10 – K reflecting the six-month transition period beginning July 1, 2020 and ending on December 31, 2020. This action is being taken to more closely align the Company’s financial reporting cycle with its peers.
