Explanation of Responses:
(1)  The Issuer issued these shares to the Reporting Person under the terms of the amended Mining Concession Asset Acquisition Agreement, which provides that the Issuer agreed to issue additional common shares to Percana Mining Corp. at any time common shares are issued to any director and/or controlling shareholder of the Issuer.
(2)  Held by Percana Mining Corp., a company in which Mr. Todhunter has voting and investment control.
