Item 5.07. Submission of Matters to a Vote of Securities Holders.

A special meeting of the Company's shareholders was held on January 31, 2018.

At the meeting the following were approved by the Company's shareholders:

(1) A 1-for-11 reverse split of the Company's common stock.

(2) The cancellation of the Company's Series A, C and D preferred shares;

(3) An amendment to the Series B preferred shares such that each Series B preferred share will be entitled to one vote per share on any matter submitted to the Company's shareholders; and

(4) An amendment to the Company's Articles of Incorporation to change the name of the Company to Advantego Corporation.

Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On February 1, 2018, the Company amended its Articles of Incorporation to reflect the name change to Advantego Corporation, the reverse stock split on a 1-for-11 basis, the cancellation of its Series A, C and D preferred shares, and the amendment to its Series B preferred shares.
