XGEN Announces Late Filing of Annual Financial Statements and Change in Date for Annual General Meeting to September 29, 2009

XGEN Ventures Inc. (the "Company") (NEX BOARD:XGN.H) announces that it will be
late filing its annual audited financial statements for the fiscal year-ended
March 31, 2009 due to the fact that it is awaiting the finalized version of the
oil and gas reserves report for its properties. The Company anticipates that it
will be filing the annual financial statements before Friday, August 7, 2009. In
the meantime, the Company is submitting a voluntary management cease-trade order
for the period of the delay.


As a result of the late filing, the Company also announces that it has
rescheduled its Annual General Meeting from August 27, 2009 to September 29,
2009 and has made the appropriate notifications through its transfer agent on
July 29, 2009. The notification can be viewed on Sedar.
