Philex Gold Receives Court Approval for Plan of Arrangement

Philex Gold Inc. (TSX VENTURE:PGI) ("PGI" or "Company") announces today that it
has obtained final court approval from the Ontario Superior Court of Justice
(Commercial List) of the previously announced proposed Plan of Arrangement (the
"Arrangement") with Philex Mining Corporation and Philex Gold Holdings Inc.
("PGHI") pursuant to which all of the PGI common shares (other than those
already held by PGHI) will be acquired by PGHI for US$0.75 for each common share
of PGI. The Arrangement was approved by special resolution and a majority of the
minority votes cast by PGI's shareholders at the special meeting of shareholders
held on April 15, 2010.


The Arrangement is expected to close on April 26, 2010.
