TORONTO, May 10, 2019 /CNW/ - Ov2 Investment 1 Inc.
(TSXV:OVO.P) ("the "Corporation"), a capital pool company
("CPC"), today announced that its board of directors has
approved the adoption of an amendment to the by-laws of the
Corporation ("Amended By-Law No. 1").
Amended By-Law No. 1 now provides that a quorum at a meeting of
the Corporation's shareholders will be present if persons holding
not less than ten percent (10%) of the shares entitled to vote
thereat are present in person or represented by proxy.
The Board resolved that Amended By-Law No. 1 will become
effective immediately. Pursuant to the Canada Business
Corporations Act, the Corporation is required to submit Amended
By-Law No. 1 to shareholders of the Corporation at the next meeting
of shareholders ("Meeting"). If Amended By-Law No. 1 is
confirmed or confirmed as amended by shareholders at the Meeting,
it will continue in effect in the form in which it is confirmed. If
Amended By-Law No.1 is rejected by shareholders at the Meeting,
Amended By-Law No. 1 will cease to be effective.

The Corporation is a CPC. It has not commenced commercial
operations and has no assets other than a minimum amount of cash.
Except as specifically contemplated in the CPC policies of the TSX
Venture Exchange, until Completion of the Qualifying Transaction,

identification and evaluation of assets or businesses with a view
to completing a proposed Qualifying Transaction.
