TORONTO, June 2, 2020 /CNW/ - Klinik Health Ventures Corp.
(TSXV: KHV.P) ("Klinik" or the "Corporation") is
pleased to announce that it has received conditional approval from
the TSX Venture Exchange (the "Exchange") for its previously
announced Qualifying Transaction (as defined under Exchange
Policy 2.4) (the "Transaction") with 2576560
Ontario Inc. doing business as NeuPath Health
("NeuPath").The Transaction is expected to close on or
around June 25, 2020.
Completion of the Transaction is subject to the satisfaction of
conditions precedent, including without limitation, the approval of
the Transaction, completed by way of plan of arrangement, by
NeuPath shareholders; the approval by Klinik shareholders of
matters in relation to the Transaction; and the receipt of all
required consents, waivers and approvals from the Exchange and the
court under the arrangement agreement governing the
Transaction.
In connection with the Transaction, the Corporation has filed a
filing statement (the "Filing Statement") with the
