As of the close of business on August 3, 2021, the reporting persons beneficially owned an aggregate of 9,612,549 of the Issuers Common Shares or 7.5% of the Issuers Common Shares outstanding, which percentage was calculated based on 127,784,797 of the Issuers Common Shares outstanding as of July 27, 2021, as reported in the Issuers Form 10-Q, filed on August 2, 2021.
Thereafter, but also on August 3, 2021, the Issuer completed its previously announced merger with Kimco Realty Corporation, a Maryland corporation ("Kimco"), pursuant to the Agreement and Plan of Merger, dated as of April 15, 2021 (the "Merger Agreement"), by and between the Issuer and Kimco. Upon the terms and subject to the conditions of the Merger Agreement, on August 3, 2021, at the effective time of the Merger (the "Effective Time"), the Issuer merged with and into Kimco (the "Merger"), with Kimco continuing as the surviving corporation of the Merger. Pursuant to the terms of the Merger Agreement, at the Effective Time, each of the Issuers Common Shares issued and outstanding immediately prior to the Effective Time (other than certain shares as set forth in the Merger Agreement) were automatically converted into the right to receive (i) $2.20 in cash and (ii) 1.408 shares of common stock, par value $0.01 per share, of Kimco. Accordingly, as a result of the consummation of the Merger, the reporting persons no longer beneficially owned any of the Issuers Common Shares.
