Explanation of Responses:
( 1)	Represents the automatic initial grant of restricted stock to the director upon commencing Board service in accordance with the Schiff Nutrition International, Inc. 2004 Incentive Award Plan, as amended. The restricted stock vests in three equal annual installments.
( 2)	Represents the automatic grant of restricted stock to the director for three years of service on the Board of Directors of the Issuer beginning on the grant date in accordance with the Schiff Nutrition International, Inc. 2004 Incentive Award Plan, as amended. The restricted stock vests upon completion of the three year term, April 20, 2012.
