(2)	Each restricted stock unit represents a contingent right to a cash payment equal to the fair market value on the date immediately preceding the vesting date of one share of Issuer's Class A Common Stock.
(3)	Restricted stock units will vest in 1/4 increments beginning on the first anniversary of the grant date.
