United Industrial Corporation Announces the Effectiveness of Shelf Registration Statement in Connection with Previously Issued 3.75% Convertible Senior Notes Due 2024 December 14, 5:00 pm ET HUNT VALLEY, Md., Dec. 15 /PRNewswire-FirstCall/ -- United Industrial Corporation (NYSE:UIC) announced today that the Securities and Exchange Commission ("SEC") declared effective the registration statement on Form S-3 relating to the Company's 3.75% convertible senior notes due 2024, and the underlying shares of common stock issuable upon conversion of the notes. The registration statement was filed in satisfaction of certain registration rights granted to the noteholders. As declared effective by the SEC, the registration statement will be available for use by the noteholders to resell the previously issued $120,000,000 aggregate principal amount of the Company's 3.75% convertible senior notes due 2024, and the underlying shares of common stock issuable upon conversion of the notes. The Company will not receive any proceeds from the resale of the notes or shares of common stock issuable upon conversion of the notes by the holders thereof.
