Change in Fiscal Year.
On November 7, 2016, Verizon Business International Holdings
B.V., a private limited company incorporated under the laws of the Netherlands, an indirect and wholly-owned subsidiary of Verizon
Communications Inc. and the sole shareholder of Fleetmatics Group Limited, a private company limited by shares formerly known as
Fleetmatics Group PLC (the “Company”) approved by special resolution that, with effect from the re-registration of
the Company as a private company limited by shares, the Company’s Memorandum and Articles of Association be deleted in their
entirety and replaced with the Constitution that is attached as Exhibit 3.1 to this Current Report on Form 8-K and incorporated
by reference herein.
