Explanation of Responses:
(1)	The phantom units were acquired from the Issuer through dividend equivalent rights that accrued on outstanding phantom units and are subject to the same terms as the phantom units to which they relate.
(2)	The phantom unit awards vest in three equal annual installments. The phantom units become payable, in cash or in common stock, at the Issuer's election, upon vesting.
