Atlas Pipeline Partners, L.P. Completes Tender Offer and Redemption of Senior Notes

Atlas Pipeline Partners, L.P. (NYSE: APL) (“Atlas Pipeline” or the “Partnership”) today announced the expiration and final results of the previously announced cash tender offer (the "Tender Offer") to purchase any and all of its 8-3/4% senior notes due 2018 (the "Notes") at par. The Tender Offer expired at 11:59 P.M., New York City time, on April 7, 2011.

The Partnership has accepted for purchase all of the Notes validly tendered (and not validly withdrawn) in the Tender Offer. The aggregate principal amount of the Notes validly tendered (and not validly withdrawn) pursuant to the Tender Offer was $7,228,000, representing approximately 3.24% of outstanding Notes. The Partnership funded payment of all Notes purchased pursuant to the Tender Offer from available cash.

The Partnership is also scheduled to complete the redemption of the $275,479,000 aggregate principal amount outstanding of its 8-1/8% senior notes due 2015 on April 8, 2011. After completing this redemption, the Partnership will have retired approximately $283 million of its senior notes.
