( 1)  Acquisition pursuant to reinvestment of dividends or interest (DRIPS).
( 2)  The 2003 Stock Option Plan, effective June 5, 2003, provides that each individual who is a non-employee director of the Company or the Bank on the day following each annual meeting of shareholders of the Company will automatically receive an option to purchase 3,000 shares of Common Stock. Options granted under the 2003 Stock Option Plan are immediately exercisable. The exercise price of an option will be equal to the fair market value of the Common Stock on the date the option is granted.
