Item 8.01. Other Events.
As previously disclosed, on November
22, 2022, Wheeler Real Estate Investment Trust, Inc. (the “Company”) commenced an offer to exchange, upon the terms
and subject to the conditions set forth in a prospectus/consent solicitation filed with the Securities and Exchange Commission (the “Prospectus/Consent
Solicitation”), any and all validly tendered, not validly withdrawn and validly accepted outstanding shares of our Series D
Cumulative Convertible Preferred Stock (the “Series D Preferred Stock”) for 6.00% Subordinated Notes due 2027 (the
“Exchange Notes” and such transaction, the “Exchange Offer”), to be newly issued by the Company.
Concurrently with and as an
integral part of the Exchange Offer, the Company is also soliciting consents (the “Consent Solicitation”) from holders
of the Series D Preferred Stock, upon the terms and subject to the conditions set forth in the Prospectus/Consent Solicitation, to certain
amendments (the “Proposed Amendments”) to the Company’s charter that will modify the terms of the Series D Preferred
Stock. By validly tendering Series D Preferred Stock into the Exchange Offer, holders will be deemed to have validly delivered a consent
to the Proposed Amendments with respect to such tendered Series D Preferred Stock.
On December 15, 2022, the Company
filed with the Securities and Exchange Commission (the “SEC”) Prospectus Supplement No. 1 (the “Prospectus
Supplement”) to the Prospectus/Consent Solicitation setting forth revisions to the
Proposed Amendments.
The Exchange Offer and related Consent Solicitation expires, as previously
disclosed in the Prospectus/Consent Solicitation, at 11:59 p.m., New York City time,
on December 22, 2022 (the “Expiration Date and Time”), unless extended or earlier terminated by the Company.
Holders of the Series D Preferred Stock may validly withdraw tendered shares of Series D
Preferred Stock and thereby validly revoke their consent to the Proposed Amendments at any time prior to the Expiration Date and Time,
and after the expiration of 40 business days from the commencement of the Exchange Offer and Consent Solicitation if tendered shares of
Series D Preferred Stock have not yet been accepted by the Company for exchange.
