A.      Charter and Bylaws.

 

The Company’s charter provides that, to the fullest extent that the law of the State of Tennessee permits the limitation or elimination of the liability of directors, none of the Company’s directors shall be personally liable to the Company or its shareholders for monetary damages for breach of fiduciary duty as a director. In addition, the Company shall have the power to indemnify any of its directors, officers, employees, agents or any other person who is serving at the Company’s request in any such capacity with another corporation, partnership, joint venture,

trust or other enterprises to the fullest extent permitted by the law of the State of Tennessee and any such indemnification may continue as to any person who has ceased to be a director, officer, employee, or agent and may inure to the benefit of the heirs, executors, and administrators of such a person.  The Company’s charter also provides that if the Tennessee Business Corporation Act is amended after approval of the charter to authorize corporate action further eliminating or limiting the personal liability of directors, then the liability of the Company’s directors shall be eliminated or limited to the fullest extent permitted by the Tennessee Business Corporation Act, as so amended.

 

The Company’s bylaws provide that the Company will indemnify to the fullest extent permitted by law any and all persons who may serve or who have served at any time as directors or officers, or who at the request of the board of directors may serve or at any time have served as directors or officers of another corporation in which the Company at such time owned or may own shares of stock or of which it was or may be a creditor of the Company, and their respective heirs, administrators, successors, and assigns, against any and all expenses, including amounts paid upon judgments, counsel fees, and amounts paid in settlement (before or after suit is commenced), actually and necessarily incurred by such persons in connection with the defense or settlement of any claim, action, suit or proceeding in which they, or any of them, are made parties, or a party, or which may be asserted against them or any of them, by reason of being or having been directors or officers or a director or officer of the Company or such other corporation, except in relation to such matters to which any such director or officer or former director or officer or person shall be adjudged in any action, suit or proceeding to be liable for his own negligence or misconduct in the performance of his duty.  Such indemnification is in addition to any other rights to which those indemnified may be entitled under any law, bylaw, agreement, vote of shareholders or otherwise.

 

B.                          Tennessee Business Corporation Act.

 

In addition to the foregoing provisions of the Company’s charter and bylaws, the Company’s officers and directors may be indemnified by the Company pursuant to Sections 48-18-501 through 48-18-509 of the Tennessee Business Corporation Act.

 

C.                          Insurance.

 

The Company maintains and pays premiums on an insurance policy on behalf of its officers and directors against liability asserted against or incurred by such persons in or arising from their capacity as such.
