Item 8.01 Other Events.

On June 12, 2008, Restoration Hardware, Inc. (the “Company”) announced that, at a special meeting of stockholders on such date, the Company’s stockholders adopted the amended merger agreement between Restoration Hardware and certain affiliates of Catterton Partners. Restoration Hardware also announced that it reached a preliminary agreement for the settlement of a stockholder complaint filed in the Superior Court of the State of California as a purported class action on behalf of the public stockholders of Restoration Hardware. A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated by reference herein.
