Explanation of Responses:
(1)	Represents shares of Common Stock received upon settlement of a performance share unit award (the "PSU Award") on April 27, 2021. On November 25, 2019, the reporting person was awarded a target number of performance units ("PUs") which were subject to the achievement of certain pre-established metrics.
(2)	These shares were withheld solely for the purpose of paying taxes due upon the vesting of shares from restricted stock units that were granted to the Reporting Person.
(3)	Represents shares of Common Stock received upon settlement of a performance share unit award (the "PSU Award") on April 27, 2021. On March 7, 2018, the reporting person was awarded a target number of performance units ("PUs") which were subject to the achievement of certain pre-established metrics over three one-year performance periods. January 1, 2018 to December 31, 2018, January 1, 2019 to December 31, 2019, January 1, 2020 to December 31, 2020, respectively.
