EXPLANATORY NOTE

This Post-Effective Amendment No. 1 (the “Post-Effective Amendment”) to Registration Statement on Form S-8, No. 333-82430 (the “Registration Statement”) of MedCath Corporation (the “Company” or the “Registrant”) is being filed to terminate the effectiveness of the Registration Statement and to deregister 1,222,353 unsold shares reserved for issuance and registered for sale under the 1998 Stock Option Plan for Key Employees of MedCath Holdings, Inc. and Subsidiaries (the “Plan”). The Plan, which was assumed by the Registrant at the time of its initial public offering of its common stock on July 24, 2001, has since been terminated by the Company’s Board of Directors and all stock options granted thereunder or governed thereby have either been exercised, expired unexercised or cancelled. The Registrant is filing this Post-Effective Amendment in accordance with the undertaking in the Registration Statement to terminate the effectiveness of the Registration Statement and to remove from registration all securities that remain unsold at the termination of the offering through the Plan.
