ITEM 8.01		Other Events.

On January 2, 2009, Legacy Bancorp, Inc. (the “Company”), the holding company for Legacy Banks (the “Bank”), announced that it has received preliminary approval of its application under the U.S. Treasury Department’s Capital Purchase Program (the “Program”). The Company will have 30 days after receipt of formal approval to decide whether to participate in the Program. The Company continues to evaluate how participation in the Program would affect its strategic plans and has not made a final decision regarding participation in the Program.

The public announcement regarding this acquisition was made by means of a press release, the text of which is set forth in Exhibit 99 to this Form 8-K and which is incorporated herein by reference in its entirety.
