Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

On September 5, 2023, Loren A. Unterseher notified the Board of Directors (the “Board”) of Lendway, Inc. (the “Company”) of his resignation from the Board effective as of September 30, 2023. Mr. Unterseher’s pending departure is not as a result of any disagreement with the Company on any matter relating to its operations, policies, or practices.
