Subject:Strategic Combination of Two Banks with Rich Histories

  

FNCB Team,

 

Today our Bank announced that we have entered into a definitive agreement to strategically combine with Peoples Security Bank and Trust Company (“PSBT”). This is an exciting transaction for our Bank, and I want to share with you firsthand how the combination will benefit our organization and all of our stakeholders.

 

The transaction will enhance the combined bank’s presence in high-growth markets throughout Pennsylvania, New York and New Jersey. It will create an impressive market profile generating significant value for our shareholders. The combination of PSBT and our Bank will expand our abilities to meet the financial needs of our customers and will further enhance our commitment to the communities we serve.

 

The combined banks will operate as PSBT upon closing of the transaction. Craig Best will serve as the Chief Executive Officer of both the Bank and Holding Company. Mr. Best has led PSBT and its predecessor for over 17 years in this capacity. I will serve as President of both the Bank and Holding Company. Tom Tulaney will continue to serve as the Chief Operating Officer of PSBT. Mr. Tulaney has been with PSBT for over 12 years. It is anticipated that 12 months after the closing of the transaction, Mr. Best will retire, and I will be appointed Chief Executive Officer with Thomas Tulaney becoming President and Chief Operating Officer of PSBT.

 

PSBT will have its headquarters in Dunmore. The holding company, Peoples Financial Services Corp. (of which FNCB Bancorp, Inc. will be merged into at time of closing), will continue to have its headquarters in downtown Scranton. The combined holding companies will trade under the ticker symbol “PFIS” on the Nasdaq Stock Market.

 

The best of both banks will be brought forward to improve and enhance products, technology, services, processes, and procedures.

 

Today’s announcement is just the beginning of our process, and there will not be an immediate impact on your day-to-day responsibilities.

 

It is important to remember that until the transaction closes, which we expect to occur in the first half of 2024, each Bank will continue to operate as separate, independent entities. Conversion of the combined bank’s systems is anticipated to occur at or shortly after closing. In the coming weeks, an integration planning team, which will be comprised of leaders from both banks, will begin the work of bringing the two banks together.

 

I realize that you will have questions regarding this transaction. In anticipation of your questions, we have prepared a formal employee communication to help you understand the effects of this transaction.
