Item 2.02.		Results of Operations and Financial Condition.

     On November 6, 2008, Foundry Networks, Inc. (the “Company”) issued a press release announcing the filing of its quarterly report on Form 10-Q with the Securities and Exchange Commission for the quarter ended September 30, 2008. The quarterly report contains the Company’s condensed consolidated statement of operations for the quarter ended September 30, 2008 and reflects a reduction in operating income and net income from the third quarter financial results previously announced on October 23, 2008. A copy of the press release is furnished as Exhibit 99.1 hereto, and the information set forth in such Exhibit is hereby incorporated by reference into this Item 2.02.
