Misys PLC To Sell 25 Million Allscripts Shares

Misys Plc (MSY.LN), a software products and solutions company announced Monday that subsidiary Allscripts-Misys Healthcare Solutions, Inc. (NASDAQ: MDRX) have commenced the public offering of 25,000,000 shares of its common stock on behalf of certain wholly-owned subsidiaries of Misys plc, Allscripts' majority stockholder.

MAIN FACTS:

-The shares are being sold by Misys to reduce its equity stake in Allscripts pursuant to the Framework Agreement between Misys and Allscripts, as previously announced in connection with Allscripts' pending merger with Eclipsys Corporation (NASDAQ: ECLP).

-The offering includes an option for the underwriters to purchase up to 3,750,000 additional shares from the selling stockholders to cover over-allotments, if any.

-Allscripts will not sell any shares in the offering and will not receive any proceeds from the offering.

-Shares closed Friday at 256.40 pence
