Regulation FD Disclosure.

On March 7, 2023, Permian Resources Corporation (the “Company”) issued a press release announcing the pricing of its previously announced underwritten public offering of Class A common stock, par value $0.0001 per share, of the Company by certain of its stockholders. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated into this Item 7.01 by reference.
