Item 8.01 Other Events

On May 4, 2023, Bogota Financial Corp. (the “Company”) completed its previously announced stock repurchase program. Under this repurchase program, the Company was authorized to repurchase up to 556,631 shares, or approximately 10% of its outstanding common stock (excluding shares held by Bogota Financial, MHC). The Company repurchased its common stock under the program at an average price of $11.09 per share. This was the Company’s third stock repurchase program since completing its initial public offering in 2020.
