On our journey to improve the homeownership experience, this will be a day to remember. I’m excited to share the news that the registration statement relating to our business combination with Aurora Acquisition Corp. (NASDAQ:AURC) (“Aurora”) has been declared effective by the Securities and Exchange Commission (the “SEC”), clearing the way for us to become a public company, which is currently expected to occur before the end of August. I am incredibly grateful to all of you for your hard work and dedication that allowed us to reach this pivotal milestone in our company’s history.
I want to take a moment and reflect on how we got here. When we founded Better in 2014, the real estate market looked very different than it does today. The home buying process was complicated and opaque, and we recognized a fundamental need to improve these archaic systems and help our customers achieve the American dream. While it hasn’t been an easy road to get here, we never strayed from our mission to make the homeownership process cheaper, faster, and easier for all Americans. Our commitment to innovation and pushing the boundaries of what’s possible has made a tremendous impact on people’s lives.
As you know, we entered into a business combination agreement with Aurora, a publicly traded special purpose acquisition company, in May of 2021. With this latest event, we can move forward with the proposed transaction, following which we will begin operating as a publicly listed company to be named “Better Home & Finance Holding Company”.
After the closing, we plan for our ticker on the NASDAQ to be BETR.
Tactically, this transaction will not impact our day-to-day operations. Our roadmap is our roadmap, and our focus this year is a huge contributor to why we’re here. What this means is that, after closing of the proposed business combination with Aurora, we expect to have substantial cash on our balance sheet to accelerate our focus on homeownership innovations and create additional products that continue to delight our customers.
From the start, we designed our compensation packages to ensure that you are all owners, and I know you will have questions about how this impacts you. To that end, we will be providing information to you in the coming days. We will also be circulating employee-only FAQs, and scheduling information sessions for everyone in the organization to attend in the coming weeks. You will receive calendar invites to each of these sessions.
Lastly, it’s important to remember that we’re not a public company yet. We are aiming to close the process by the end of August, but we must complete a few steps first. While that work proceeds in the background, let’s all keep doing what we do best: represent our values every day, put our customers first, and advance our business and mission. As a reminder, because we all may be in possession of Material Non-Public Information (“MNPI”), we are prohibited from trading outside of permitted trading windows or sharing MNPI with others outside the organization. We are updating our insider trading policy and will share it broadly in the coming days. You can see our current policy in Section 6.21 of the Employee Handbook.
