Trafficmaster Plc ("Trafficmaster" or "the Company"), the leading worldwide
player in the telematics marketplace, announces that it has today entered into
arrangements, conditional inter alia on admission, to place 6,292,637 new
ordinary shares of 5 pence each ("New Ordinary Shares") at 62.5 pence per share
("the Placing").  The New Ordinary Shares represent approximately 5.0 per cent.
of Trafficmaster's existing issued share capital.


The Placing by Bridgewell Limited has been carried out to satisfy investor
demand for the stock.  The net proceeds of the Placing are expected to be
approximately #3.83 million and together with the Company's existing cash
resources, will be used to redeem early the $15 million of bonds held by
Trafficmaster's US subsidiary Teletrac.  The early repayment will save the
Company approximately #63,000 per month in interest payments.


Applications have been made for the New Ordinary Shares to be admitted to the
Official List of the UK Listing Authority and to the London Stock Exchange to be
admitted to trading on its market for listed securities.  It is expected that
admission will take place on Monday 12th January 2004.


The positive trends highlighted in the interim results published on 11th
September 2003 have continued in each of the group's four operating divisions
and trading remains in line with the Board's expectations.  In particular the
Company has enjoyed a strong performance from Smartnav, its advanced satellite
navigation product.


Smartnav, regarded as the most advanced satellite navigation system in the
world, uniquely combines Trafficmaster's traffic flow data with turn by turn
instructions enabling the motorist to use the most efficient route and avoid
traffic jams.  During 2003 the Company signed deals with ten motor manufacturers
who now offer Smartnav as either standard fitment or as an approved accessory.


Trafficmaster's preliminary results for the 12 month period ended 31st December
2003 will be announced on 18th March 2004.
