Re:  Chapter 9, Paragraph 11 of CONTINUING OBLIGATIONS

Xansa plc (the "Company") announces that it received notification on 22 October
2003 under sections 198-208 of the Companies Act 1985 (as amended) (the "Act")
that as at the close of business on 17 October 2003, Barclays PLC through the
legal entities listed below, became interested for the purposes of the Act in
10,307,538 ordinary shares of 5p each in the Company ("Ordinary Shares").

The Barclays PLC legal entities comprise Barclays Private Bank Ltd, Barclays
Global Investors Ltd, Barclays Life Assurance Co Ltd, Barclays Global Investors
Australia Ltd, Barclays Global Investors, N.A. and Barclays Private Bank and
Trust Ltd.

At the close of business on 17 October 2003, these Ordinary Shares represented
3.04% of the issued share capital of the Company.
