3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule of Standard; Transfer of Listing

On February 1, 2008, MCF Corporation (the “Company”) issued a press release announcing the approval of the listing of its common stock on The NASDAQ Stock Market LLC (“NASDAQ”), such listing to be effective on or about February 12, 2008. In connection with its listing on NASDAQ, the Company is voluntarily withdrawing its listing on the American Stock Exchange. The Company’s Board of Directors approved a resolution to change the listing of its common stock from the American Stock Exchange to NASDAQ on December 14, 2007. A copy of the February 1, 2008 press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
