Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Registrant announced that effective October 17, 2008 as part of the change in management and change of control of the Registrant, its relationship with Chief Operating Officer, Mickey Elfenbein, has been terminated and the parties are negotiating terms of separation.
