POSTPONEMENT OF SHAREHOLDERS' MEETING ORIGINALLY SCHEDULED FOR MARCH 13, 2019

We refer to the Notice of the Meeting of Members (the "Shareholders") of Sagicor Financial Corporation Limited (the "Shareholders' Meeting") dated 8 February 2019. Please be advised that the Shareholders' Meeting originally scheduled to be convened on Wednesday, March 13, 2019 has been postponed.

The purpose of the postponement is to allow Alignvest Acquisition II Corporation and the Company more time to market the proposed transaction to be considered by Shareholders and afford time for investors and Shareholders to understand the publicly available information. All Shareholder documents are available for review by interested parties at www.sagicor.com under 'Shareholder Documents'.

The Board of Directors of the Company will fix a new date for the Shareholders' Meeting shortly. Notice of the postponed Shareholders' Meeting and the record date for determining the Shareholders of the Company entitled to receive notice thereof and vote thereat will be given to Shareholders and published in the usual media in due course.
