obligations under the Property Option Agreement (the "Agreement") dated
August 14, 2007 regarding the Baker Lake project located in Nunavut. As a
result, the Company can earn a 60% interest in uranium and diamonds only
on the Baker Lake project by incurring additional $2,000,000 in
expenditure and issuing additional 125,000 common shares in substitution
for Northern's obligations under the original Agreement.

The delisting of the Company shares results from a special resolutions
passed by the shareholders of the Company on August 8, 2008, approving
the Company and Golden Predator Mines Inc ("Golden Predator") (a TSX
listed company) completing a plan of arrangement under Section 288 of the
Business Corporation Act (British Columbia). Each Company shareholder
will receive one GP unit with each GP unit comprising 1/3 of one Golden
Predator share and 1/2 of one Arrangement Warrant. Each Arrangement
Warrant will entitle the holder to acquire one Golden Predator Share at a
price of $3.35 per share for three years. The Plan of Arrangement has
been completed on August 15, 2008.
