Explanation of Responses:
( 1)  The shares were disposed of pursuant to the merger agreement dated as of April 14, 2008 between the Company and Delta Air Lines, Inc. ("Delta") (the "Merger Agreement") in exchange for shares of Delta common stock.
( 2)  The option, one-third of which vested on September 25, 2008 and the remaining two-thirds of which vests in six equal installments beginning November 30, 2008 and thereafter on each six-month anniversary of such date, was canceled in the merger and replaced with an option to purchase shares of Delta common stock pursuant to the Merger Agreement.
