                             Director Shareholding



The Company was informed on 4th August 2003 that the Trustee of the Radstone
Technology PLC Share Incentive Plan (the "Trust"), purchased 3,532 ordinary
shares of 12.5p each in the Company ("Ordinary Shares") at a price of #2.85 per
share on 1 July, 2003. Following this purchase the Trust now holds 101,285
Ordinary Shares, representing 0.42% of the issued ordinary share capital of the
Company.


All employees of the Company, including the executive directors, are potential
beneficiaries of the Trust.
