                             Director Shareholding


The Company was informed on 7 April, 2003 that the Trustee of the Radstone
Technology PLC Share Incentive Plan (the "Trust"), purchased 3,216 ordinary
shares of 12.5p each in the Company ("Ordinary Shares") at a price of #2.54 per
share on 3 April, 2003.  Following this purchase the Trust now holds 90,304
Ordinary Shares, representing 0.38% of the issued ordinary share capital of the
Company.

All employees of the Company, including the executive directors, are potential
beneficiaries of the Trust.
